These Terms of Service govern your use of alphabioregen.com and any purchase you make through it. Alphabioregen, Inc. is a Massachusetts corporation with its principal place of business in Burlington, Massachusetts. In these terms, “we”, “us” and “our” mean Alphabioregen, Inc.; “you” means the person or organization using this website or placing an order.

By browsing this website, requesting a quotation, or placing an order, you accept these terms. If you do not accept them, please do not use the site.

1. Research use only

Everything we sell is for research use only.

Our products are not intended, tested, validated or approved for use in the diagnosis, prevention, treatment or cure of disease in humans or animals, and are not for therapeutic, clinical, veterinary clinical, forensic, food, cosmetic or household use. You must not administer any product, or any material derived from it, to human beings or to animals raised for food. You must not use our products to manufacture a drug, biologic, cell or gene therapy, medical device or diagnostic assay, or to generate data submitted to a regulatory authority in support of such a product, unless we have granted you a separate written licence.

Human-derived materials are supplied de-identified, with donor consent and ethical approval. You must not attempt to identify or contact any donor. All biologically derived material must be handled as potentially infectious regardless of screening results, at Biosafety Level 2 as a minimum, by trained personnel in an appropriate facility.

2. Who may buy from us

We sell to institutions, companies and organizations engaged in laboratory research, and to authorized distributors. We do not sell to consumers or accept orders for personal, family or household use.

By ordering, you confirm that you are ordering on behalf of an organization, that you are at least 18 and authorized to commit that organization, and that the products will be received and used by, or under the supervision of, personnel qualified to handle human-derived biological materials. We may ask for evidence of institutional affiliation, biosafety capability or intended end use, and we may decline any order.

3. Accounts

Some parts of this website require an account. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity under your account. Tell us promptly if you believe your account has been compromised. We may suspend or close an account that is used in breach of these terms.

4. Product information and pricing

We work to keep catalogue descriptions, specifications, images, availability and prices accurate, but we do not warrant that everything on the site is free of error. Images may be representative rather than lot-specific. Datasheets, protocols and application notes are general guidance; the definitive record for any delivered lot is its Certificate of Analysis.

Prices are in United States Dollars unless stated otherwise, and exclude freight, refrigerants, packaging surcharges, taxes, duties and brokerage. Prices and availability may change without notice. If a product is listed at an obviously incorrect price, we may cancel the order and refund you in full rather than supply at that price.

5. Orders

An order you place through this website is an offer to buy. No contract exists until we send an order acknowledgement or ship the products; we may accept an order in part, or decline it. A quotation is an invitation to order rather than a binding offer, and is valid for 30 days unless it says otherwise.

Because live cells, tissue models and temperature-sensitive media are scheduled against production, release testing and courier cut-offs, delivery dates are estimates. We will tell you promptly if a date changes materially.

You can ask to change or cancel an order in writing before it enters final packing. Once a shipment has been packed with refrigerant or dry ice, or a courier label has been generated, it cannot be cancelled. Custom-manufactured products cannot be cancelled once production has begun.

Please make sure someone qualified is available to receive and process the shipment on the delivery date. We are not responsible for loss of viability where a shipment is refused, left at a mailroom or loading dock, or not unpacked promptly.

6. Payment

Payment is due before shipment unless we have approved credit terms for your account in writing; where approved, our standard terms are net 30 days from invoice date. We accept bank transfer, corporate cheque drawn on a United States bank, and credit card where offered. Bank charges and currency-conversion costs are yours, and remittances should be made so that we receive the full invoiced amount.

Custom products and services are payable in full when the order is accepted, before production begins. Overdue amounts carry interest at 1.5% per month or the maximum rate permitted by law if lower. We may withhold shipments while any amount is overdue. Please raise invoice disputes within 15 days of the invoice date; undisputed amounts remain payable.

We retain title to products until we have been paid in full.

7. Shipping and risk

Refrigerated products ship in insulated packaging with conditioned gel packs. Frozen products ship on dry ice (UN1845) under the applicable dangerous goods rules. We ship by overnight or two-day service and schedule dispatch to avoid weekend and holiday transit; we may hold a shipment to the next suitable dispatch day to protect the cold chain.

Unless we agree otherwise in writing, products are sold Ex Works our shipping facility. Risk passes to you when the products are handed to the carrier. Where we arrange freight we do so at your cost and risk, and we are not liable for a carrier’s acts, delays or routing decisions. Insurance is not included unless you request it in writing.

Notwithstanding the above, we will consider replacing temperature-sensitive products that fail on arrival because of a documented cold-chain excursion on a shipment we arranged. Full details are in our Shipping Policy and Refund Policy.

8. Inspection, returns and refunds

Inspect every shipment on arrival and report anything visible — damage, shortage, a warm shipment, a wrong item — within 24 hours, and no later than 48 hours. Report problems that only appear in culture within 15 days of delivery. Do not return anything without a Return Material Authorization number from us.

Our Refund Policy sets out in full what we replace or refund, what is non-returnable, the restocking charge, and the timelines you can expect. It forms part of these terms.

9. Warranty

We warrant to the original buyer that, on delivery, each product conforms to the specifications on its Certificate of Analysis, has been manufactured and released under our quality system, and is free from defects in workmanship and materials attributable to us. The warranty period is the earlier of 30 days from delivery or the expiry or recommended-use date on the label, and it depends on the product having been stored, handled and used in line with its documentation.

The warranty does not cover storage or handling outside the documented conditions, use beyond the labelled expiry or recommended passage number, contamination arising after delivery, use with third-party media, sera, matrices or vessels we have not validated, modification of the product by or for you, use outside research use only, or performance in an application not stated in the documentation.

This is our only warranty. To the maximum extent permitted by law we disclaim all other warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that any product will produce a particular research result. Your exclusive remedy for breach of warranty is replacement, credit or refund at our option.

10. Storage and your responsibilities

Store every product on arrival at the conditions on its label and documentation — cryopreserved cells in liquid nitrogen vapour phase, frozen media at −20°C or −80°C as labelled, liquid media and antibody solutions at 2–8°C protected from light. Do not refreeze thawed cryopreserved cells. Repeated freeze–thaw cycles will reduce performance and void the warranty. You are responsible for monitored, alarmed storage with documented temperature records.

You are also responsible for reading the documentation and safety data sheet before use, obtaining all permits, ethical approvals and institutional clearances your work requires, complying with biosafety, human tissue, occupational health, environmental and waste regulations, and disposing of products and derived materials as regulated biological waste.

You may not resell, transfer, distribute or otherwise make our products available to any third party — including other laboratories, departments or institutions — without our written consent, except that an authorized distributor may resell within its territory under its distribution agreement. You may not reverse engineer, re-derive or attempt to reproduce any product for commercial supply.

11. Intellectual property

All content on this website — text, catalogue data, datasheets, protocols, images, graphics, logos and layout — belongs to Alphabioregen or its licensors and is protected by intellectual property law. You may view, download and print material from the site for your own internal research reference. You may not copy, republish, redistribute, scrape, mine, frame or use it commercially, or create derivative works from it, without our written consent.

Buying a product gives you a non-exclusive, non-transferable, revocable licence to use that product, and its progeny and unmodified derivatives, for your own internal research at your own site. It does not grant any licence for commercial manufacture, resale, distribution, or contract research services delivered to third parties. No licence is granted by implication or estoppel under any patent covering the use of a product in combination with other materials or in any process or method. If your intended use needs a commercial licence, contact us before you order.

You own the data and results you generate. If our product contributes materially to a publication, we would appreciate a citation by catalogue number. Otherwise, please do not use our name, logo or trade marks, or imply our endorsement, without written consent. Any feedback you send us about our products we may use freely.

12. Acceptable use of this website

Please do not use this website to do anything unlawful, and in particular do not:

We may suspend or withdraw access to the site, or to any part of it, at any time and without notice.

13. Content you submit

If you submit content to the site — an enquiry, a quotation request, a product review, a citation or technical feedback — you confirm that it is accurate, that it is yours to submit, and that it does not infringe anyone’s rights or disclose confidential information belonging to a third party. You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce and adapt that content in connection with our business. We may remove any submitted content at our discretion. Please do not submit personal health information, patient data, or anything you consider confidential through the public parts of this site.

14. Third-party links

The site may link to third-party websites, publication databases, distributor sites and marketplace platforms. We provide those links for convenience. We do not control those sites, we do not endorse their content, and we are not responsible for them. Your use of a third-party site is governed by that site’s own terms.

15. Privacy and cookies

Our Privacy Policy explains what personal information we collect, how we use and protect it, the legal bases we rely on, and the rights available to you under the General Data Protection Regulation and the California Consumer Privacy Act. Our Cookie Policy explains the cookies this site sets and how to manage them. Both form part of these terms.

16. Export compliance

Our products are subject to United States export control and sanctions law, and to the import laws of your country. Most of our products are classified EAR99 and export under licence exception NLR, but classification is product-specific and may change.

You must not export, re-export, transfer or divert any product, or material derived from it, to any embargoed or comprehensively sanctioned country or region, to any restricted party or an entity owned or controlled by one, or for any prohibited end use, including any use connected with chemical, biological, nuclear or missile weapons. You confirm that you are not a restricted party and are not acting for one, and you agree to give us accurate end-use and end-user information on request. You are responsible for obtaining import permits, tissue import authorizations and other clearances required at destination before shipment.

We may suspend, delay or cancel any order, without liability, where we reasonably believe shipment would breach export control, sanctions or import law, or where required screening cannot be completed.

17. Website disclaimer

This website is provided on an “as is” and “as available” basis. We do not warrant that the site will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the site or its server is free of harmful components. Technical information, protocols and application notes on the site are general guidance only and are not a substitute for your own validation. Scientific and regulatory information can change; we are under no obligation to update it.

18. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, research results, grant funding, experiments, reagents, animals, cell banks, business opportunity, goodwill or reputation, however caused and on any theory of liability, even if we have been advised of the possibility.

Our total aggregate liability arising from any product, service or order will not exceed the amount you actually paid us for the specific product or service giving rise to the claim.

You acknowledge that our prices reflect this allocation of risk and that these limits are an essential basis of our agreement. No claim may be brought more than one year after the cause of action arose. Nothing here excludes liability that cannot lawfully be excluded, including for fraud. Some jurisdictions do not allow certain exclusions, in which case they apply to the fullest extent permitted.

19. Indemnity

You agree to indemnify, defend and hold harmless Alphabioregen, its affiliates, and their officers, directors, employees and agents against all claims, damages, losses, liabilities, penalties and expenses (including reasonable legal fees) arising from your use, storage, handling, transfer or disposal of our products; any use outside research use only; your breach of these terms; your violation of any law, including export control and biosafety law; or any third-party claim, including by your employees, students, patients or research subjects, arising from your use of our products.

20. Force majeure

We are not liable for delay or failure to perform caused by circumstances beyond our reasonable control, including fire, flood, severe weather, epidemic or pandemic, war, terrorism, civil unrest, strikes, government action, sanctions or changes in export law, utility or telecommunications failure, cyber incident, carrier disruption, dry ice or refrigerant shortage, unavailability of donor material, supplier failure, or shortage of raw materials or transport. Delivery dates extend by the duration of the event. If it continues beyond 60 days, either of us may cancel the affected part of the order; our obligation is then limited to refunding amounts paid for undelivered products, less costs irrecoverably committed to custom products. Where supply is constrained we may allocate available products among customers on a basis we consider fair.

21. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

We would always rather resolve a problem by talking to you, and we ask that you contact us first. If a dispute cannot be resolved through good-faith discussion within 60 days of written notice, either of us may refer it to mediation in Boston, Massachusetts. If mediation does not resolve it within a further 90 days, it will be finally resolved by binding arbitration in Boston under the Commercial Arbitration Rules of the American Arbitration Association, before a single arbitrator, in English. Judgment on the award may be entered in any court of competent jurisdiction.

Either of us may still go to court for injunctive relief to protect intellectual property or confidential information, or to collect undisputed amounts due. Disputes are resolved individually; class, collective and representative proceedings are waived. The prevailing party may recover reasonable legal fees and costs. Subject to the above, the state and federal courts in Middlesex County, Massachusetts have exclusive jurisdiction.

22. General

If any provision is held invalid, it will be modified to the minimum extent needed to make it enforceable and the rest continues in force. You may not assign your rights or obligations without our written consent; we may assign to an affiliate or in connection with a merger or sale of assets. These terms create no rights for anyone other than you and us. We are independent contractors, not partners, joint venturers or agents. A failure to enforce a provision is not a waiver of it. These terms are written in English; any translation is for convenience and the English version governs. Sections 1, 6, 9, 10, 11, 16, 18, 19, 21 and 22 survive.

Where you and Alphabioregen have signed a separate supply, distribution or master purchase agreement, that agreement prevails over these terms to the extent of any direct conflict. Terms contained in your purchase order, vendor portal or procurement platform do not apply unless one of our authorized officers has accepted them in writing.

23. Changes to these terms

We may update these terms by publishing a revised version on this page with a new effective date. The version in effect when we accept your order governs that order; changes do not apply retroactively. Continuing to use the site or place orders after a change takes effect means you accept the updated terms. We suggest you review this page periodically.
